Welcome to Newport Systems Inc. (“Newport”). These Terms of Service ("Terms") govern your access to and use of Newport’s customer‑facing websites, systems, applications, and services that require authenticated access (collectively, the "Services"). This is a login‑gated customer portal intended for authorized users only.

By accessing or using the Services, you acknowledge and agree that your use is subject to these Terms as well as the applicable service agreement, master services agreement, or other written agreement between your organization and Newport (the "Customer Agreement"). In the event of any conflict, the Customer Agreement will control.

All systems, software, interfaces, content, data, information, and materials made available through the Services are proprietary to Newport and are owned exclusively by Newport, unless expressly stated otherwise in the applicable Customer Agreement.

Access to the Services does not transfer any ownership rights to you or your organization. All rights not expressly granted are reserved by Newport.

Information and data accessible through the Services may include confidential, proprietary, or non‑public information belonging to Newport or its customers. You agree to protect such information and to use it solely as permitted under the Customer Agreement and these Terms.

To protect the security and integrity of the Services, Newport may monitor access and usage for administrative, security, and compliance purposes. Unauthorized or improper use may result in suspension or termination of access in accordance with the Customer Agreement.

The Services may be modified, updated, suspended, or discontinued from time to time. Newport may also update these Terms periodically. Continued access to or use of the Services after such updates constitutes acceptance of the revised Terms, subject to the Customer Agreement.

The Services are provided "as is" and "as available." Except as expressly set forth in the applicable Customer Agreement, Newport makes no warranties, express or implied, regarding the operation, availability, or performance of the Services.

8. Limitation of Liability

To the extent permitted by law and except as otherwise provided in the Customer Agreement, Newport shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of the Services.

9. Governing Law

These Terms are governed by and construed in accordance with the laws specified in the applicable Customer Agreement, without regard to conflict of law principles.

10. Enforcement and Remedies

Failure to comply with these Terms of Service may result in suspension or termination of access to the Services and may subject the violating party to all remedies available under applicable law. Such remedies may include, without limitation, claims for damage, injunctive relief, and the pursuit of any other legal or equitable remedies available to Newport Systems USA to the fullest extent permitted by law.
